1. Introduction
Welcome to Roam Network AG. These Terms of Use (“Terms”) constitute a binding legal agreement between you and Roam Network AG, a limited company incorporated in the Canton of Zug, Switzerland (registration number CHE-358.171.614) (“Roam,” or “we”). These Terms govern your access to and use of our website, https://www.roam.network/ (the “Site”), and our mobile application, RoamApp (the “App”). Together, the Site and App (including all content, data, and services provided therein) are referred to as the “Service.”
By downloading, installing, accessing, or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must strictly refrain from using the Service.You represent and warrant that you are of legal age to form a binding contract (or if not, you have received your parent’s or guardian’s permission to use the Service and they have agreed to these Terms on your behalf).
2. Your Privacy
We value your privacy. The personal data we collect through your use of the Service is processed strictly in accordance with our Privacy Policy, which is incorporated by reference into these Terms. You can review the Privacy Policy here.
3. Roam Account
To utilize the full functionality of the App and earn Roam Points, you must register a “Roam Account.”
Account Security: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Roam Account. You agree to use a strong password and keep your device secure.
Verification: You agree to provide accurate, current, and complete information during the registration process (including a valid mobile number).
Non-Transferability: You may not transfer, sell, or assign your Roam Account to any third party without our prior written consent.
Monitoring: Your Roam Account will track your activity, including Roam Points earned. We advise you to check your account regularly. If you suspect unauthorized access or security breaches, you must notify us immediately.
Data & Battery Usage: You acknowledge that the App runs in the background to perform network measurements. This requires an active internet connection and may consume mobile data and battery life. You are solely responsible for any mobile carrier charges or data fees incurred while using the Service.
4. Earning Roam Points
You may earn "Roam Points" by using the App to gather and report mobile network measurements (e.g., signal strength, location data) via your device’s sensors.
No Monetary Value: Roam Points are strictly loyalty points. They represent a limited, revocable, non-transferable license right solely for use within the Service. Roam Points have no monetary value, are not property, and are not currency or legal tender. They cannot be redeemed for cash, fiat currency, or cryptocurrency from Roam or any of its affiliates unless specifically agreed otherwise in a written instrument signed by Roam.
Validity of Measurements: We reserve the sole and absolute discretion to determine the validity of network measurements. We may invalidate Roam Points if we determine, in our reasonable judgment, that they were not earned through genuine mobile network measurements or were generated via artificial means (e.g., GPS spoofing, emulators).
Adjustments: We reserve the right to modify the eligibility criteria, measurement requirements, and daily earning limits at any time without prior notice.
Fraud: We reserve the right to nullify Roam Points and suspend or terminate accounts that we suspect of fraudulent activity, manipulation, or abuse of the Service.
5. Intellectual Property Rights
The Service, including but not limited to the App, Site, source code, logos, trademarks, and data, is the proprietary property of Roam Network AG and its licensors.Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App on your personal device solely for your personal, non-commercial use. No other rights are granted to you.
6. Planned Roam Tokens
The Roam decentralized autonomous organization (DAO) or Roam Network AG may explore the potential issuance of a cryptographic digital asset (tentatively the “Roam Token”).
IMPORTANT DISCLAIMER: The creation and issuance of Roam Tokens is speculative and not guaranteed. You acknowledge that you are using the Service and earning Roam Points without the expectation of financial gain, profit, or the future receipt of Roam Tokens. 'Roam Points' are distinct from 'Roam Tokens'. Points are not a substitute for Tokens and are not convertible unless a specific feature is released in the future. In the event Roam Tokens are launched, we may (but are not obligated to) provide a mechanism to convert Roam Points into Roam Tokens. Such conversion would be subject to separate terms, eligibility requirements (including KYC/AML verification), and exchange rates determined solely by us. If conversion becomes available, you may be required to download a separate application or register a compatible digital wallet.
7. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
(a) Manipulate Data: Use bots, emulators, scripts, GPS spoofing, click-farms, or other artificial or mechanical means to simulate network reports or generate Roam Points.
(b) Reverse Engineer: Decompile, reverse engineer, disassemble, or attempt to derive the source code of the App or Site.
(c) Exploit Commercially: Sell, rent, lease, or commercially exploit the Service or any data derived from it without our written consent.
(d) Engage in Harmful Activity: Introduce viruses, malware, or harmful code; or attempt to gain unauthorized access to our systems or other users' accounts.
(e) Interfere: Disrupt, overburden, or interfere with the integrity or performance of the Service.
(f) Harass: Use the Service to transmit defamatory, offensive, or illegal content.
(g) Harvest Data: Collect or "scrape" data regarding other users or Service content.
Sanctions Compliance: You represent and warrant that (i) you are not located in a country subject to a United States or Swiss government embargo, or designated as a "terrorist supporting" country; and (ii) you are not listed on any US, EU, or Swiss government list of prohibited or restricted parties (e.g., SDN List).
8. Age Restrictions
The Service is intended for users who are 18 years of age or older. Users between the ages of 13 and 18 may only use the Service with the supervision and consent of a parent or legal guardian. If you are under 13, you are strictly prohibited from using the Service.
9. Changes and Updates
Service Changes: We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.
Terms Updates: We may update these Terms from time to time. If we make material changes, we will notify you by posting the new Terms on the Site or App. Your continued use of the Service after the effective date of such changes constitutes your acceptance of the new Terms.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROAM NETWORK AG AND ITS AFFILIATES DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; OR (C) ANY ERRORS OR DEFECTS WILL BE CORRECTED. YOU ASSUME ALL RISK FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM YOUR USE OF THE SERVICE.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
(A) EXCLUSION OF DAMAGES: IN NO EVENT WILL ROAM NETWORK AG, ITS AFFILIATES, OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (iii) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
(B) LIABILITY CAP: OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO ROAM IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY; OR (B) ONE HUNDRED SWISS FRANCS (CHF 100).
(C) EXCLUSIONS: NOTHING IN THESE TERMS EXCLUDES OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FRAUD, OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY WHICH CANNOT BE EXCLUDED BY LAW.
12. Indemnification
You agree to defend, indemnify, and hold harmless Roam Network AG and its affiliates, officers, directors, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney’s fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; or (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right.
13. Governing Law and Dispute Resolution
Informal Resolution: If you have any dispute with us, you agree to first contact us at info@roam.network and attempt to resolve the dispute informally.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions.
Jurisdiction: Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the courts of Zug, Switzerland.
Class Action Waiver: WHERE PERMITTED UNDER APPLICABLE LAW, YOU AND ROAM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
14. Severability and Waiver
If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
